PREAMBLE
We, the Alumni of the Osun State Polytechnic Iree, HAVING firmly and solemnly resolved: TO FORM a virile and corporate body of All Alumni of the Osun State Polytechnic, Iree resident in or outside Nigeria as required under the stature of the Polytechnic: TO FOSTER the spirit of oneness and comradeship among all the Alumni of the Polytechnic: AND TO PROVIDE for a constitution for the purpose of all persons in the Alumni Association, DO HEREBY, make, enact and give ourselves the following Constitutions:
ARTICLE 1: NAME:
The name of the Association shall be Osun State Polytechnic Alumni Association hereinafter referred to as “The Association”.
ARTICLE 2: CITATION
This instrument shall be cited as the constitution of Osun State Polytechnic, Iree Alumni Association.
ARTICLE 3: SUPREMACY OF THE CONSTITUTION
[a]This constitution shall be supreme and its provision shall be binding on all member of Alumni Association.
[b]Where any chapter or branch of the Alumni Association makes any law, bye-laws, standing orders or regulations that are inconsistent with any of the provisions of this constitution, such provision shall be void to the extent of its inconsistency.
[c]Any conduct of any member of the Alumni Association that is inconsistent with the provisions of this constitution shall be void to the extent of its inconsistency.
ARTICLE 4: AIMS AND OBJECTIVES
[1]To provide a link between the Polytechnic and hergraduates and through them, the public in general.
[2]To promote unity among member and enhancement of development of graduate of Osun State Polytechnic.
[3]To initiate and execute programmes aimed at accelerating the overall growth and development of the Osun State Polytechnic, Iree.
[4]To promote mutual understanding, cooperation and fraternal understanding among the graduates of the Osun State Polytechnic, Iree.
[5]To give advice to the Polytechnic authorities, State orFederal Governments on such spheres of academic activities demanding specialist advice on improvement of academic matters pertaining to the welfare of the Osun State Polytechnic, Iree.
[6]To forge useful link between persons, associations, societies, institutions or bodies of persons established in Nigeria or elsewhere having similar objectives.
[7]To establish a general fund for the maintenance and promotion of scholarship and scientific research in the Polytechnic as well as provide any necessary assistance in the Institution.
[8]To deal in real or personal property and acquire right and privileges in any part of Nigeria or abroad which the Association may consider necessary or convenient for the promotion of these objectives and the objectives of the institution.
[9]To create a forum:
(a)For honouring member of the society of proven integrity.
(b)For honouring member who have distinguished themselves in their fields of endeavour.
(c)For honouring individual who have contributed to the development of Osun State Polytechnic, Iree.
ARTICLE 5: MEMBERSHIP
Membership of the Association shall be open to:
[i]Holders of National Diploma and Higher National Diploma of the Polytechnic.
[ii]Holders of Diploma and/or certificates in any field of study at the Polytechnic.
ARTICLE 6: ADMISSION
Admission of eligible persons shall be by payment of registration fee of One thousand naira (N1,000.00) for National Diploma and Higher National Diploma graduates or such other amount as may be determined from time to time by the Annual General Meeting or Convention.
ARTICLE 7: PATRONS
[a]Non-Alumni members who have made substantial contribution to the Polytechnic or the Association shall be appointed as patrons/patroness of the Association at the Annual General Meeting or Convention of the Association or any other forum as may be determined by the National Executive Council.
[b]The National Executive Council shall set up a Patron/Patroness Nomination Committee which would recommend eligible candidate(s) as patrons to the National Executive Council.
[c]Patrons/Patroness shall not exceed six (6) in number at any point in time.
[d]The visitor to the Polytechnic shall be the Grand Patron of the Association.
ARTICLE 8:NATIONAL HEADQUARTERS
CHAPTERS AND BRANCHES
[a]The National Headquarters of the Association shall be at the Osun State Polytechnic, Iree main campus.
[b]The National Secretariat of the Association shall be at the Osun State Polytechnic, Iree main campus.
[c]The National Executive Council shall employ an Administrative Secretary to perform Secretariat duties at the Alumni Secretariat.
[d]There shall be chapter in each of the States of the Federation including the Federal Capital Territory, Abuja.
[e]Each Chapter shall be registered with the issuance of Certificate of Recognition by the National Secretariat of Association with the following particulars:
(i)Registration fees as may be determined by the National Executive Council.
(ii)List of Chapter members to be updated yearly.
(iii) Names of all officers of the Chapter to be updated yearly
(iiii) The contact address of the State Secretariat.
(v) Any other particulars that the National Association may demand from time to time.
[f]Each chapter shall pay #2,500 to the National annually for the issuance of/renewal of Certificates of Registration.
[g] Each chapter shall have powers to regulate its activities in conformity with provision of this constitution.
[h]No branch shall have direct dealings whatsoever with the Polytechnic authority except through the National Secretariat of the Alumni Association.
[i]Branches/chapters may be formed wherever possible subject to the following conditions:
(i)More than one branch may exist in any Local Government Area.
(ii)Upon compliance with the provision of Article 8(f)
ARTICLE 9:NATIONAL OFFICERS OF THE ASSOCIATION
[a]The officers of the Association shall consist:
(i)National President
(ii)(a)National Vice President (Academic)
(b)National Vice President (Admin)
(iii) National Secretariat
(iiii) 1st Assistant National Secretary
(v) 2nd Assistant National Secretary
(vi) National Social Secretary
(vii) National Treasurer
(viii) National Publicity Secretary
(ix) Assistant National Publicity Secretary
(x) National Financial Secretary
(xi) National Auditor
(xii) Two Ex-Officio Members:
(1) Immediate Past President
(2) To be appointed at the Annual General meeting
ARTICLE 10A: THE NATIONAL PRESIDENT
[a]THE NATIONAL PRESIDENT shall:
(i)Be the Head of the Association
(ii)Preside at all National Executive Council Meetings, and all Conventions of the
Association.
(iii) Give necessary directives to other National Officers of the Association for proper execution of their duties.
(iiii) Delegate any officer to perform the duty of another in the absence of the latter.
(v) Be the Chief Accounting Officer of the Association
(vi) Have a casting vote at all meetings of the Association in the event of a tie.
(vii) Liaise with the National Secretary to convene meetings and conventions.
(viii) Be a signatory to the Accounts of the Association.
(ix) Take actions on behalf of the Association provided such are in consonance with the provisions of the constitution.
(x) Carry out such functions which his office demands from time to time.
(xi) Shall be the spokesman of the Association.
[b]THE NATIONAL VICE PRESIDENT(ADMINISTRATION)
(i)Shall assist the National President in the conduct of the affairs of the Association.
(ii)Perform such other duties as may be assigned to him by National President.
(iii)Subject to the directive, he is to act for the President in his absence.
[c]THE NATIONAL VICE PRESIDENT (ACADEMIC)
(i)He is to assist the President in the conduct of the affairs in academic area only.
(ii)He shall be the liaison officer between the Alumni Association and the School Authority.
(iii)He shall perform such other duties as may be assigned to him/her from time to time by the President.
[d]THE NATIONAL SECRETARY shall:
(i)Be responsible for the general administrative duties of the Association.
(ii)Act as Chief Correspondent of the Association with either the public,
authorities and Chapter of the Association.
(iii) Ensure the implementation of the decisions reached at all meetings of the Association.
(iiii) Prepare agenda for and convene the Executive Council and Association meetings in conjunction with other members of the Exco.
(v) Be a signatory to the Account of the Association.
(vi) Keep proper records of the Association’s property and be the custodian of all the movable property of the Association.
(vii) Prepare and present an annual report of the Association’s activities to the Annual General Meeting.
[e]1ST ASSISTANT NATIONAL SECRETARY shall:
(i)Assist the National Secretary in the execution of his duty.
(ii)Act for the National Secretary in his absence.
(iii) Perform such other duties as may be assigned to him by the National Executive Council.
[f]2ND ASSISTANT NATIONAL SECRETARY shall:
(i)Assist the National Secretary in the execution of his duty.
(ii)Act for the National Secretary in his absence.
(iiii) Perform such other duties as may be assigned to him by the National Executive Council.
[g]THE NATIONAL FINANCIAL SECRETARY shall:
(i)Be responsible for collecting all subscriptions and dues for the Association and submit same to the National Treasurer within 18hours of collection.
(ii)Ensure that all monies collected are properly receipted.
(iii) Shall be the chairman of the finance committee of the Association.
(iiii) Initiate procedure that will ensure flow of revenue to the coffers of the Associations.
(v) Shall prepare, produce and publish Annual Financial report to be presented at each Annual General Meeting.
(vi) Carry out all such functions that may be incidental to his office or as may be directed by the President or the Executive Council from time to time.
[h]THE NATIONAL TREASURER shall:
(i)Be the custodian of all monies of the Association.
(ii)Bank all monies within 24hours of receipt except weekend and public holiday.
(iii) Be a signatory to the Bank Account of the Association.
(iiii) Prepare a bi-annual reconciliation of bank statement as specified by the constitution.
(v) Release the Association’s funds as specifically directed by the National Executive Council.
(vi) The National Executive Council shall be at liberty to keep with him amount not more than #50,000.00 for and on behalf of the Association to meet exigency
[i]THE NATIONAL SOCIAL SECRETARY:
(i)Shall be Chairman of Social/Welfare Committee.
(ii)Shall in collaboration with the Social/Welfare Committee arrange for
accommodation and seat at conventions and other functions of the association.
(iii) Shall arrange all entertainments at the functions of the association.
(iiii) Shall perform other duties as may from time to time be assigned to him by the National Executive Council or the National President.
[j]THE NATIONAL PUBLICITY SECRETARY:
(i)Shall publicize all the programmes and activities of the Association and its Chapters or Organs.
(ii)Shall ensure that all members of the Association are duly informed of every activity of the Association.
(iii) Shall issue release on the approval of the National Executive Council or the National President in emergency cases and such releases must reflect the views of the Association.
[k]ASSISTANT NATIONAL PUBLICITY SECRETARY
(i)Shall perform all duties of the National Publicity Secretary in his absence.
(ii)Shall perform other duties as may be directed by the National Publicity
Secretary.
[l]THE NATIONAL AUDITOR:
(i)Shall ensure that proper books of account are kept by the Association.
(ii)Shall conduct other check on the finances and assets of the association as
may be directed from time to time by the National Executive Council.
[m]EX-OFFICIO:
(i)They shall function in advisory capacity to the National Executive Council.
ARTICLE 11:(A) FINANCE
The source of fund for the Association shall be:
(i) Registration/Membership fee: Each member shall be due to have been a registered member on payment of one thousand naira only.
(ii) Annual Due: Each member shall oblige to subscribe annually the sum of five hundred naira or such other amount as may be determined from time to time at the Annual General Meeting or Convention.
(iii) Special Levies: Each member may be called upon to pay a special levy in aid of approved project(s), donations may also be received from the public through organized activities decided upon by the National Executive Council.
(iiii) Financial Member: A financial member is a member that has paid his membership fee and annual dues since graduation to date.
(v) Any other source the National Executive may deem necessary provided such is in consonance with the provisions of the Constitution.
ARTICLE 11: (B) ACCOUNTING MANUAL
[a]All monies belonging to the Association shall be kept in its account with such bankers as the National Executive Council may appoint.
[b]All cheques shall be signed by the National Treasurer and National Secretary and countersigned by the National President or any two of these including the National President.
[c]No expenditure of money shall be incurred for any purpose unless such expenditure has been approved by the National Executive Council.
[d]Financial year shall be from April 1st to March 31stof every year.
ARTICLE 12: MEETINGS
[i]The annual General Meeting shall be held on such day in June of every year as may be determined by the National Executive Council provided that the National Executive Council may postpone the holding of Annual General Meeting for not more than four weeks in the event of some unforeseen circumstances making it in impossible to hold the General Meeting in the month of June.
[ii]There shall be a convention on or before the expiration of the 2year term of the National Executive for the purpose of election of new officers.
[iii]New officers shall be sworn in immediately after election by the Legal Adviser to the Association.
[iv]A notice of meeting should be in at least one national newspaper not later `than 2weeks before any Annual General Meeting or Convention.
[v]If and when the National Executive Council refuses to summon a meeting of the Biennial Convention in accordance with Article 12(i), 120 financial members shall be eligible to summon such a convention through signatures and the decision duly reached there, shall bind the Association subject to conformity with the provisions of the constitution.
[vi]The National Executive Council shall meet at least once in a month except for emergency situation and 72hours notice is given.
[vii]Any 2/3 of the members of the National Executive Council shall include the National President, National Secretaryand Publicity Secretary shall form a quorum for the National Executive Council Meeting.
[viii]20 financial members shall form a quorum at any General Meeting of the Association including the Biennial Convention.
ARTICLE 13:
[A]ELECTION OF OFFICERS
The following offices shall be opened for contest by all other categories of certificates holders of Osun State Polytechnic, Iree who are financial member of the Association.
[i]National Vice President
[ii]Assistant National Secretary
[iii]Assistant Publicity Secretary
[iv]National Social Secretary/Welfare
Qualification for Election: Any member interested in contesting elections to any
office in the National Executive Council:
[i]Shall belong to a chapter of good standing.
[ii]Must have graduated from Osun State Polytechnic, Iree at least 3years before
the date of election.
[iii]Must not be less than 30years of age in case of the President]
[iv]Shall be a financial member. All financial members are eligible to vote and be voted for.
[v]Must have attended at least three (3) General Meeting and Conventions to be eligible to contest.
[vi]Must give his consent in writing
[vii]Shall be sponsored by his chapter if any.
[viii]Where there is no qualified candidate, electoral committee shall defer to Annual General Meeting on how to fill the post.
[ix]No Officer of the Council shall be eligible for re-election to the same office after the expiration of the two terms.
[x]A National Diploma holder of office in the Alumni Association shall cease to be a member in the event of his pursuit of his Higher National Diploma in Osun State Polytechnic, Iree.
[B]NOMINATION FOR SCREENING
[a]There shall be Electoral Committee to be constituted by the National Executive Council not later than two months before the election and its functions shall include:
(i)Calling for nomination and screening of candidates to elective offices of the association.
(ii)Produce a final list of eligible candidates to be advertised in at least one National Newspaper at least 2weeks before election.
[C]ELECTORAL SYSTEM
(a)There shall be an electoral committee nominated at the General Meeting who shall be responsible for the conduct of the election at the convention.
(b)Only financial members are eligible to vote and be voted for.
(c)Voting shall be by secret ballot.
(d)The electoral committee member shall not vote or be voted for.
(e)In case of an equality of votes, the voting for a particular office shall be
repeated until a clear winner emerges.
(f) An officer shall not spend more than 2terms in the same office.
ARTICLE 14: COMPOSITION AND FUNCTIONS OF THE NATIONAL CONVENTION
1.COMPOSITION
All financial members of the association shall be entitled to attend and participate in the business of the National Convention. The National Convention shall take place every 2years on or before the expiration of the tenure of the National Executive Council.
2.FUNCTION
The National Convention shall have powers to:
[i]Rectify after debate, the reports of the National Secretary (which incorporate reports from chapters) and the National Treasurers Report which shall incorporate the External Auditor’s Certificate.
[ii]Discuss motions and resolutions as submitted to it by or through the National Executive Council.
[iii]Take policy decisions on all matters affecting the welfare of the Polytechnic and/or the Association.
[iv]Carry out social activities planned for such convention by the National Executive Council.
[v]Elect the National Officers of the Association and appoint the Ex-officio members of the National Executive Council.
ARTICLE 15: COMPOSITION AND FUNCTIONS OF THE NATIONAL
EXECUTIVE COUNCIL
1.COMPOSITION:
There shall be a National Executive Council which shall comprise the following:
[i]All National Officers except External Auditor and Legal Adviser.
[ii]Chairmen & Secretaries of Chapters
[iii]2 Ex-officio members to be appointed by the National Convention one of
which must be the Immediate Past President.
2.FUNCTIONS
The National Executive Council shall have the powers to administer the affairs of the Association to the best of its judgment and ability and shall inter-alia:
[i]Exercise control over and manage the finances of the Association in such manner as it considers prudent;
[ii]Appoint representatives to attend meetings of other organizations;
[iii]Express in such manner as it deems fit the view of the Association upon any
matter of public interest (to the Association generally and shall have the responsibility of reporting to the members on such expressions).
[iv]Appoint External Auditor and Legal Adviser.
[v]Convene meetings of the Association and the National Executive Council as it deems fit.
[vi]Make all necessary arrangements for the Annual General Meetings and Conventions.
[vii]Appoint AD-HOC Committees as it deems necessary to deal with specific matter.
[viii]Fix the remuneration of the External Auditor and Legal Adviser.
ARTICLE 16: TENURE OF OFFICE
[a]The Officers of the Association shall hold office for a period of two (2) years.
[b]Subject to the provisions of this Constitution an officer of the Association shall hold office until:
[i]He tenders his letter of resignation and such letter is approved by the Executive Committee.
[ii]He is incapable of performance of his functions arising from a physical or mental deficiency induced by the infirmity of mind or physical disability.
[iii]He dies whilst holding such office.
[iv]He conducts himself in a manner that is inconsistent with the provisions of this constitution.
[v]He otherwise ceases to hold office in accordance with the provisions of this constitution.
[vi]His successor in office is sworn in.
[vii]He ceases to be a member due to the pursuit of further study in Osun State Polytechnic, Iree.
[c]Removal of Officer:
[i]Any officer of the National Executive may be removed from office in accordance with the provision of this section.
[ii]Whenever a notice of any allegation in writing signed by not less than 10 financial members of the Association is presented to the National Executive Council stating that holders of such office is guilty of gross misconduct in the performance of the functions of his office. Detailed particulars of which shall be specified. The Secretary or any of the assistant secretary shall within 7 (seven) days of the receipt of the notice cause a copy therefore to be served on each member of the National Executive and shall cause any statement made in reply to the allegations by the holder of the office to be served on each member of the National Executive.
[iii]The National Executive shall resolve whether or not the allegation should be investigated and if so the National Executive Council shall cause the allegation to be investigated by the Disciplinary Committee.
[iv]The Disciplinary Committee shall:
[a]Have such powers and exercise its functions in accordance with such procedure as may be prescribed by the National Executive Council.
[b]Within one month report its findings to the National Executive Council
[v]The National Executive Council shall then deliberate, vote and implement the recommendation(s) of the Disciplinary Committee.
[vi]In this article, gross misconduct means a grave violation or breach of the provisions of this constitution or a misconduct of such nature as amounts in opinion of the Disciplinary Committee to gross misconduct.
ARTICLE 17: AMENDMENT OF THE CONSTITUTION
[i]This constitution shall become operative directly after it is approved by the Association at a Convention or an extra-ordinary General Meeting called for that purpose.
[ii]This constitution may be amended only by a resolution passed at the Biennial Convention of the Association by a two-thirds majority of financial members present and voting at such a convention and such amendment shall become operative immediately.
[iii]A written notice of any motion to amend this constitution shall be given to the National Secretary at least two months before the date of the Biennial Convention at which such a motion is to be moved and notice thereof shall be given by the National Secretary to all members at least two weeks before the date of the Biennial Convention.
This constitution is reviewed and approved by a resolution at the National General Meeting held on 5th September, 2010, and shall take immediate effect. This constitution is subjected to review or amendment after three years of usage.
